End user license agreement
1. Introduction
Welcome to use the software and related services provided by PINGO Entrepreneurs, SA de CV ("PINGO GPS" "we" or "us").
The software and related services ("our services") that are provided to you refer to the customer application that is labeled "PINGO GPS" by our legal ownership and operation, including but not limited to core functions such as location queries, video calls, chat, messages, remote device management, personalized recommendations, posting information, interactive communication, as well as other functions. PINGO GPS is a tool-based application and content service platform for home users. PINGO GPS User Agreement ("This Agreement") is an agreement between you and us regarding your registration, login, use (collectively, "use") of our services.
In order to provide you with better services, please read carefully and fully understand this Agreement before using it, in particular, the clauses related to the exclusion or limitation of liability, the licensing and the use of information, the agreement to activate and use a single special service, applicable laws and dispute resolution, etc. Among them, you should focus when reading the clauses in bold, such as exclude or limit liability. If you are under the age of 18, please read and fully understand this agreement with your legal guardian and use our services before receiving their verifiable consent.
By accessing or using our Services, you agree to be bound by these Terms. If you do not, you will not be able to access or use our Services. If you accept or use our services, you are deemed to have already read and agreed to be bound by this Agreement, the Services Agreement, and the Rules for other related software, including but not limited to the Privacy Policy.
2. PINGO GPS and Related Services
2.1. You can obtain our official (client) application by pre-installation, download by authorized third parties, in authorized digital stores, etc., when you are going to use our services. If you did not obtain the software in the ways we mentioned, we cannot guarantee that the unofficial version of the software can be used normally, and the loss you suffer will be irrelevant to us.
2.2. We can develop different versions of applications for different terminal devices. You must obtain, download and install the appropriate version according to the current state of the device. If you no longer use our services, you can uninstall the corresponding application.
2.3. To provide a good user experience, we will update or change our services (including but not limited to software modifications, upgrades, functional enhancements, new service development, software replacement, etc.) from time to time. You can update the corresponding version, depending on your needs.
In order to ensure the security of our services and improve the services for the user, after the partial or total update of our services, we will remind you in an appropriate way, including, but not limited to, system warning messages, announcements, letters from the website, etc., and you have the right to choose whether to accept the updated version. Otherwise, some functions of our services will be restricted or cannot be used normally.
2.4. Unless we authorize it in writing in advance, you may not make unauthorized access or use of our services in any way, including but not limited to adaptation, reproduction, broadcast, vertical search, mirroring, trading, commercialization, etc.
2.5. You must prepare your own terminal devices (such as mobile phones, tablets, etc.) to use our services. Once you open it on your terminal device, you are considered to have used our services. To perform the full function of the software, you may need to connect the terminal equipment to the network, and you will have to pay the required costs (such as data charges, Internet access charges, etc.).
2.6. We grant you a personal, non-transferable, non-exclusive, non-commercial, limited license to use and access the Services only as permitted by these Terms. We reserve all rights that these Terms do not expressly grant you. Except as permitted through the Services or as permitted by us in writing, your license does not include the right that we did not mention. At the same time, if we do not exercise any of the aforementioned rights, it does not constitute a waiver of this right.
2.7. You do not need to register when you use our services, but the main functions or services will be affected. In the meantime, we hope you understand that, in order for you to better use our services, protect the security of your account, and certain individual features and / or services (such as the feedback service) will require you to provide real identity information and register with your real name in accordance with relevant national laws and regulations before use.
3. Your Account
3.1. Our services provide you with a registration channel. You have the right to choose a legal character combination as your account and set your own password that meets the security requirements. The account and password you establish are the credentials to log in and use our services.
3.2. You understand that the account you set up must not violate national laws and regulations and our relevant rules and must not take any action that infringes national interests, damages the legal rights and interests of other citizens, and damages social morals. Make sure your username, avatar and profile and other people's information are legal, and don't use someone's name without getting permission (including but not limited to impersonating someone else's real name, picture, etc. person in a confusing way), maliciously register your account (including but not limited to frequent and bulk registration, etc.). We reserve the right to review the information you submit.
3.3. Only you can access your PINGO GPS account. Giving, borrowing, renting, transferring, selling, or allowing others to use the account without our prior written approval is prohibited. If we find or have reasonable grounds to suspect that you were not the initial account registrant, to protect the security of the account, we have the right to suspend or terminate the provision of services to the registered account or terminate the account immediately.
3.4. You are solely responsible for the information associated with your account and everything that happens in relation to your account, including, but not limited to, any data modifications, comments posted, payments, and other actions. You must maintain the security of your Account and notify us immediately if you discover or suspect that someone has accessed your Account without your permission.
3.5. When you have forgotten your password, you can follow the prompts to retrieve your password. We just want to remind you that it is preferable to use mobile phone number verification, followed by security issue. You must maintain your account and password correctly. If it was hacked or lost for your own reasons, we do not assume any responsibility for this.
3.6. When using your account, you must take into account the relevant information that you entered (such as account number, password, security questions, etc.). In accordance with relevant national laws and regulations, you may need to fill in real identity information (such as identity authentication) to use some features of our services and pay attention to update relevant information in a moment. If the materials you submit or the information you provide are not standardized or do not comply with the rules, we have the right to refuse to provide you with related functions, you may not access or use our Services.
3.7. In addition to registering PINGO GPS, you are also authorized to use other software that is legal, including, but not limited to, us and / or other software affiliated with us, and third-party software user accounts registered under real names to log in and use PINGO. GPS, except where third-party software or platforms have restrictions or prohibitions in this regard. When you log in with the existing account mentioned above, you will ensure that the corresponding account has been registered in real name, and the same applies to this Agreement.
3.8. Not only can you log in and use PINGO GPS, but you can also use your account login in other software and services provided by our affiliated companies. We need to remind you that when you log in and use the services mentioned above with your PINGO GPS account, you will be bound by the User Agreement and other terms of the actual provider agreement.
3.9. To increase the exposure of your content and publishing efficiency, we are authorized to automatically publish all content created by your account or the corresponding account on this software / website to other software and websites operated by us and / or our affiliates. The operations that you post, modify and delete on this software / website will be synchronized with other software and websites mentioned above. When you register or log in to products and websites operated by us and / or our affiliated companies (if any) through a registered account or third-party software user account, you must comply with the "User Agreement" of the software and website and other terms of the agreement.
3.10. After completing the registration, login and reasonable and necessary identity verification of PINGO GPS, you may examine and modify the personally identifiable information submitted by you at any time. You may not be able to modify the initial registration information and other verification information provided when you registered due to security and identity considerations (such as account or password recovery services, etc.). You can request the deletion of your account, and we will assist you after completing reasonable and necessary verification of personal identity, security status, device information, etc., except as otherwise provided by laws and regulations.
3.11. To make full use of account resources, if you are unable to log in for the first time after registration or have not used your account for more than six months, we will recover your account.
4. User Personal Information Protection
We work with you to protect your personal information (which can identify a user independently or in combination with other information). For us, protecting users' personal information is one of the basic principles. To better serve you and support you, you may be required to provide your personal information (including but not limited to name, phone number, location information, etc.) when using PINGO GPS. We will use encryption technology, anonymization, other technical measures and security measures that are compatible with PINGO GPS to protect your personal information. Certainly, other information about you, as set out in the Privacy Policy.
5. User Code of Conduct
5.1. User behavior requirements.
You will be responsible for everything that happens related to your account when you use our services. Except as permitted through the Services or as permitted by us in writing, your license does not include the right to:
5.1.1. Use any third-party plug-in, system or tool that is not authorized or registered by us to interfere, destroy, modify or exert any influence on the normal operation of our services.
5.1.2. Do anything against our services that compromises the security of the computer network, including, but not limited to:
5.1.2.1. Illegal intrusion into other people's networks, interference with other people's normal functions, theft of network data, and other acts that compromise network security.
5.1.2.2. Provide specially designed programs and tools for network intrusions, interfering with normal network functions and protection measures, and stealing network data, etc.
5.1.2.3. Be aware that others are involved in actions that endanger the security of the network, even giving assistance with technical support, advertising promotion, payment settlement, etc.
5.1.2.4. Using unauthorized data or accessing unauthorized servers / accounts.
5.1.2.5. Entering public computer networks or computer systems of other people without permission and deleting, modifying and augmenting the stored information.
5.1.2.6. Without permission, try to detect, scan and test "PINGO GPS" network or system weaknesses, or other actions that undermine network security.
5.1.2.7. Attempting to interfere or interrupt the normal operation of the "PINGO GPS" system, application or website, intentionally spreading malicious programs or viruses and other actions that interrupt and interfere with the normal information services of the network.
5.1.2.8. Fake TCP / IP packet name or partial name.
5.1.2.9. Reverse engineer, disassemble, compile, or otherwise attempt to find out the source code for our services.
5.1.2.10. Maliciously registering accounts for our services, including but not limited to frequent and bulk registration.
5.1.2.11. Violate this agreement, the laws and regulations, our relevant rules, and other actions that infringe the legal rights and interests of others.
5.1.3. If we have reason to believe that your actions violate or may violate the above agreement, we can judge and handle it independently, and we have the right to terminate the service for you without prior notice and to pursue related legal responsibilities.
5.2. Content Specification
5.2.1. When you complete the registration in accordance with the regulations, you can log in to PINGO GPS with your registered account or our partner platform account to post content, follow comments, etc.
5.2.2. We are committed to making the disclosure of information and follow-up comments civil, rational, friendly and of high quality. As we promote the development of information disclosure, interactive communication and comment posting business, we will continue to strengthen the security of corresponding information. management capabilities, improve self-discipline of information disclosure, post comments and effectively fulfill social responsibilities, comply with national laws and regulations, respect the rights and legitimate interests of citizens and social order.
5.2.3. The content that you comment, disseminate and publish must consciously obey these requirements, such as laws, regulations, social order, morality, national interests, legitimate rights and interests of citizens, moral customs and authenticity of information, etc. And you agree and promise that you will not produce, copy, publish or disseminate the following information that is prohibited by laws and regulations:
5.2.3.1. Those who fight against the basic principles established by the Constitution.
5.2.3.2. Those who endanger national security and leak state secrets.
5.2.3.3. Those who subvert state power, overthrow the system, incite secession, and undermine national unity.
5.2.3.4. Those that damage the honor and national interests.
5.2.3.5. Those who support terrorism and extremism.
5.2.3.6. Those who support hatred, discrimination and the destruction of unity.
5.2.3.7. Those who incite regional discrimination, regional hatred.
5.2.3.8. Those who destroy religious policies and promote cults and superstitions.
5.2.3.9. Those who manufacture and spread rumors and false information, alter the economic order and social stability.
5.2.3.10. Those who spread violence, obscenity, pornography, gambling, homicide, terror or instigation of crime.
5.2.3.11. Those that violate the rights and legal interests of minors or injure the physical and mental health of minors.
5.2.3.12. Those who are not authorized to photograph or record others without permission, infringing the legal rights of others.
5.2.3.13. Those that contain horror, violence, high risk, that endanger the physical and mental health of their own or of others.
5.2.3.14. Those who endanger the security of the network, using the network to endanger the security, honor and national interests.
5.2.3.15. Those who insult or defame others, infringing their legal rights.
5.2.3.16. Those violent intimidations, threats and crude searches against others.
5.2.3.17. Those that involve privacy, information or personal data.
5.2.3.18. Those who spread bad words, damage the social order.
5.2.3.19. Those who infringe privacy, reputation, portrait rights, intellectual property rights, etc.
5.2.3.20. Those who spread commercial advertisements or similar commercial requests, excessive marketing messages and spam.
5.2.3.21. Those who comment in a language other than the one commonly used on this site.
5.2.3.22. Those that have nothing to do with the information being discussed.
5.2.3.23. Those who post nonsensical information or use character combinations to deliberately escape technical audits.
5.2.3.24. Those who violate laws, regulations, policies, social order, interfere with our normal functioning or violate the rights and legitimate interests of others or third parties.
5.3. We have established a public platform for complaints and reports. You can make a complaint to us according to our public complaint and complaint system, such as all kinds of illegal actions, illegal communication actions, illegal and harmful information, etc. We will accept and handle your feedback promptly to jointly create a healthy network environment.
6. Information Content Specification
6.1. Without our written approval, you may not authorize, allow or assist any third party to perform any of the following actions on the information content of our services in this agreement:
6.1.1. Copy, retrieve and use PINGO GPS information content for commercial purposes, including but not limited to advertising, increased reading and page views.
6.1.2. Edit, organize, compose the information content of PINGO GPS without permission and display it on channels other than the home page of our services.
6.1.3. Adopt identification methods, including but not limited to any form of special identification, code, etc., to help third parties, or to do so on your own, to affect the information content of our services, such as guiding readings, transfer and hijack our traffic.
6.1.4. Other illegal actions to obtain or use the information content of PINGO GPS.
6.2. With our written approval, your actions in sharing and forwarding PINGO GPS information content must meet the following specifications:
6.2.1. Relevant data obtained through tracking and statistics, such as keywords, hit rates, categories, searches, hits, reads, etc., without our prior written approval, you may not publish, provide or disclose to any third in anyway.
6.2.2. You cannot make any changes to the home pages of our services, including but not limited to the link to the home page (profile page) and the advertising system. It is also not allowed to obstruct, insert, unfold, etc. in any way to display the home pages of our services.
6.2.3. Safe, effective and strict measures must be taken to prevent the information content of our services from being illegally obtained by third parties through any form, including, but not limited to, "spider" programs.
6.2.4. Do not use the relevant data content for purposes beyond the scope of our written permission, such as sales and commercial use, or to disclose, provide or allow third parties to use it in any way.
6.2.5. The action of sharing, forwarding and copying the information content of our service to any third party must comply with other codes and standards established by us.
7. Default Handling
7.1. For breach of this agreement or other terms of service, we have the right to independently judge and take action such as advance warnings, refuse to post, stop broadcasting information immediately, remove follow-ups, prohibit short conversations, and restrict some or all account functions until it is permanently closed. We have the right to announce the results of the processing and decide whether to resume the relevant account of users according to the actual situation. We will report records of suspected violations of laws and regulations and alleged crimes to the relevant competent authorities in accordance with the law and we will cooperate with the relevant competent authorities for the investigation.
7.2. If you violate the provisions of this agreement or other terms of service and cause a third-party complaint or litigation, you are solely responsible for that. If we and our affiliates compensate a third party or are punished by a state authority because of their illegal, infringing, or breach of contract, you must compensate us and affiliates for any losses we suffer.
7.3. PINGO GPS respects and protects users' rights to intellectual property, reputation, name, privacy, and other legal rights. You must ensure that the texts, images, videos, audios, links, etc., uploaded during the use of our services do not infringe the intellectual property rights, reputation, name, privacy and other legitimate rights and interests of third parties. Otherwise, we have the right to remove the allegedly infringing content upon receipt of a notification of the rights or related parties. For all claims made by third parties, you are solely responsible for it. If we and our affiliates suffer any loss (including financial, business reputation, etc.) due to your injury, you must compensate us and affiliates for any loss we suffer.
8. Services Changes, Interruptions and Termination
8.1. We hope you understand that our services are provided in accordance with existing technologies and conditions. We will do everything possible to provide continuity and security in services. But we cannot foresee or prevent other risks that may cause service interruptions, failure to use our services, other losses and risks at any time, including but not limited to force majeure, network defects, third party services, sites third party website and others.
8.2. To meet the operational security needs of the platform, in accordance with specific conditions, we have the right to determine the configuration and scope of the service / function, modify, interrupt, suspend or terminate our services.
9. Advertisements
9.1. During the use of our services, we may send you relevant information, advertisements or brand services, and we will display the commercial and promotional information or (including commercial or non-commercial information) of our software and of related providers and partners or of third parties on PINGO GPS.
9.2. When using PINGO GPS, we may send you programmatic advertisements based on preferences, interests, etc. If so, you can disable programmatic advertising in PINGO GPS settings. If you do, the ads you see will remain the same, but the relevant ads will decrease. Read more in the Privacy Policy.
9.3. We will advertise and promote related obligations in accordance with the law. You must judge the authenticity and reliability of the advertising or promotional information and be responsible for that. Except as expressly provided by laws and regulations, you are solely responsible for purchases, transactions, or damages or losses suffered due to advertising or promotional information, and we are not responsible for that.
10. Intellectual Property
10.1. The intellectual property rights of the content provided in our services (including software, technology, programs, web pages, text, images, audio, video, graphics, design, electronic documents, among others) belong to us. The copyrights, patent rights and other intellectual property rights of the software and services that we provide also belong to us. Without our permission, no one can use the content of our services (including, but not limited to, tracking, reproduction, broadcasting, viewing, duplication, uploading, downloading through any robot or spider program or device).
10.2. The texts, images, videos, audios, etc., uploaded that are released when using our services are originally created by you or legally authorized. The intellectual property rights in any content that you upload or post through PINGO GPS belongs to you or the original copyright owner.
10.3. In order to continually improve and provide you with better services, you agree that the content that you upload, post, transmit or broadcast (including, but not limited to, texts, images, audios or music, sound, dialogue in videos and / or audios) about us , already authorizes our affiliates, controlled companies, and / or successor company, to have worldwide, free, non-exclusive, sublicensable rights (through multiple levels), including, but not limited to, the rights of reproduction, transmission, adaptation, compilation, modification, translation, derivative works, performances and exhibition of the information network. The range of use includes, but is not limited to, current or other websites, applications, products or end devices, etc. You hereby confirm and agree that the granting of the above rights includes the following rights and licenses: the content, any promotion, advertising and / or marketing related to PINGO GPS and / or the company's brand and content developed from other forms (totally or partially). To be clear, you agree that the authorization of the above rights includes the permitted use, reproduction, display, transmission of personal image, portrait, name, trademark, service mark, brand, name, logo, company logo, other materials, etc.
10.4. You agree to authorize us to act on our own behalf or to entrust a professional third party to protect the intellectual property rights that you upload and post. This, among others, through the monitoring of infractions, the sending of letters of protection, the presentation of claims or arbitration, mediation, reconciliation, etc. We have the right to make decisions regarding the protection of rights and implement them independently.
10.5. We provide technical support for the development and operation of PINGO GPS, and we have all rights within the scope allowed by laws and regulations on all data and information generated during the development and operation of our services.
11. Disclaimers
11.1. Our services may be affected or interfered with by various factors, which we cannot guarantee (including, but not limited to):
11.1.1. That our services are fully adapted to all users’ requirements.
11.1.2. That our services are uninterrupted, timely, secure, reliable, or error-free.
11.1.3. That any software, service or other material you obtain from us meets all of your expectations.
11.1.4. That any errors in our services be corrected.
11.2. If there are alleged loans or other network information related to property, account passwords, advertisements or promotions, please seriously consider and make a judgment, we are not responsible for profits, business reputation, loss of data or other tangible losses or intangibles that you have suffered.
11.3. During the use of our services, you may encounter force majeure factors (means objective events that cannot be foreseen, overcome and avoided), including but not limited to natural disasters (such as floods, earthquakes, typhoons, etc.), government actions, wars, strikes, riots, etc. If it happens, we will try to repair it in time as soon as possible; however, we are exempt from any responsibility, within the scope of the laws and regulations, for the losses that these events may cause.
11.4. We have the right to act, according to this document, on illegal content that we detect. This right does not constitute our obligation or commitment. We cannot guarantee that we will find illegal actions in time or resolve them accordingly.
11.5. Regarding our services, we do not provide any express or implied warranties or conditions, including but not limited to commercial availability, suitability for specific uses, etc. You are solely responsible for the corresponding risk when using PINGO GPS.
11.6. This agreement is to ensure compliance with national laws and regulations, maintain social order and protect the rights and legitimate interests of others, we will do our best to make judgments in accordance with the relevant laws and regulations within our ability. We do not guarantee that our judgments are completely consistent with those of the judicial and administrative bodies. If so, you only have to bear the consequences.
11.7. In any case, we do not assume any responsibility for any indirect, consequential, punitive, incidental, special damages, including loss that you suffered when using our services. No matter what the reason, the total liability we assume will never exceed the cost (if any) you paid us for using our services during the membership period.
12. Special Agreements on Single and Third-Party Services
12.1. Our services contain information or links to information content obtained by PINGO GPS in various legal ways, as well as other individual services legally operated by us and / or our affiliates. You can enable and use the individual services described above at PINGO GPS. Some individual services may require you to accept agreements specially formulated for this purpose or other rules that bind you and the individual service provider. If necessary, these agreements and rules will be prominently provided to you when you plan to use the service mentioned above for your review and consent. Once you start using the above services, you will be deemed to accept the restrictions of the relevant agreements and rules with respect to the individual services. If the terms of use are not indicated, or are "permanent", "infinite" or "unlimited", then the terms of use of these products or services are from the date the user begins to use the product or service until the date the product or service is offline in PINGO GPS.
12.2. When you use our services, provided by a third party, at PINGO GPS, in addition to complying with this agreement and the relevant rules on our part, you may also need to accept and abide by the third party's agreement, privacy policy, and relevant rules. You and the third party resolve the dispute, loss or damage caused by the third-party software and related services, we are not responsible for you or the third party.
13. Terms of Use for Minors
13.1. If you are under the age of 18, you should read this agreement carefully with the supervision and guidance of your guardian and receive verifiable consent from your parent or legal guardian before using our services.
13.2. We attach importance to the protection of the personal information of minors under 18 years of age, minors should strengthen their awareness of personal protection and treat them seriously when filling in personal information and use our services when directed by their guardians.
13.3. The minor understands that if he violates the laws and regulations or the content of this agreement, he and his guardian will assume all legal responsibilities that may arise.
13.4. Special tips for minor users:
13.4.1. Minors use our services that will be supervised by their guardians, and they must learn to use the Internet within a reasonable range, avoid enjoying the virtual Internet and have good habits when browsing the web.
13.4.2. Minors must obey the National Youth Convention on Network Civilization:
13.4.2.1. Be good at learning online and don't look for wrong information.
13.4.2.2. Communicate honestly and without insulting others.
13.4.2.3. Improve self-protection awareness and don't go out with friends online casually.
13.4.2.4. Maintain network security without disrupting network order.
13.4.2.5. Maintain physical and mental health without enjoying the virtual Internet.
13.5. To better protect the privacy rights of minors, we must remind you to be careful when posting content that contains minor material. Once published, it is considered that you accept that our services show minor information, pictures, sounds, etc. And it allows us to use and process the content related to the minor, in accordance with this document.
14. Other
14.1. The agreement that is established, made effective, carried out and the resolution of any dispute, will be governed by the laws of Mexico. If any provision of this agreement is invalid or unenforceable due to conflicts with the laws of Mexico, these terms will be revisited as closely as possible to the original provisions of this agreement, and the other provisions of this agreement will remain. in full force and effect.
14.2. This agreement was signed in Mexico City, Mexico. If you have any dispute with us due to this agreement, both parties should try to resolve it through friendly negotiation. If it fails, you will agree to have the relevant disputes submitted to the court corresponding to the place where this agreement is signed to litigate.
14.3. To better serve you, our services will be updated and changed from time to time in accordance with national laws and regulations. We will modify the policy settings of this agreement as appropriate. These amendments are part of this Agreement. If it has been updated, we will issue an updated version of PINGO GPS and notify you of the updated content before the updated terms take effect, then you can know the latest version of this agreement in time. You can also check the latest version "Terms of Agreement" on the software setup page. By continuing to use our services, you agree to accept the content of this revised Agreement.
14.4. If you have any objection to the revised terms of the agreement, please stop logging in immediately or stop using our services. By continuing to log in or use it, you are deemed to have acknowledged and accepted the revised terms of the agreement.
14.5. The titles of this agreement are for your convenience and reading only and do not affect the meaning or interpretation of the provisions of this agreement.
14.6. We are both independent subjects and in no case does this Agreement constitute any form of express or implicit guarantee or condition of our representation or interest in the user, nor do the parties constitute an agent, partnership, joint venture or employment relationship.
